Policies Summary of our positions and commitment
Business Continuity Management Policy The Business Continuity Management Policy defines the scope and governance of a business continuity management (BCM) strategy and provides the context in which the strategy can implemented within an organisation. An effective business continuity programme is essential for any organisation that seeks to develop and enhance organisational resilience. MTN Nigeria Communications PLC has recognised the need for BCM and disaster recovery planning as a means of achieving business resilience and has supported this with an organisation-wide BCM programme. The policy has been implemented by MTN Nigeria to reduce the potential impact of disruptive incidents and shorten the period of disruption to business activities. The policy covers all critical activities, business processes, telecommunications infrastructure and channels of business transactions involving the company. The Business Continuity Management Policy follows certain principles that serve as its underlying foundation. These include:

 

  • Governance: This involves a board and team of coordinators that are formed to oversee the management system of business continuity.
  • Crisis Management: This involves strategic management plans, crisis communication, and escalation processes and procedures that must be established and maintained to facilitate internal and external information flow and coordination of responses.
  • Operational Resilience: This involves the development, maintenance, and routine testing of operational business continuity plans for all departments to ensure the continuity of critical processes, products, and services during an event.
  • Technology Resilience: This includes the identification of single points of failures to be conducted to identify unacceptable levels of continuity and availability taken.
  • Information Security Resilience: This serves as the first responder to cyber and information security incidents and performs key technical actions, including detection, containment and eradication of such individuals.
  • Supply Chain Resilience: This involves contractual agreements with all critical suppliers and third parties included in business continuity and information security requirements.
  • Environmental, Social and Governance (ESG) Resilience: This deals with risk assessments that would be conducted routinely to identify and assess the digital human rights impacts and risks of MTN Nigeria’s operations.
  • Financial Resilience:involves liquidity risk management processes and procedures as well as counter-party assessments to be conducted regularly.
Customer Contact Policy This policy serves to manage the communications sent to customers with the key objective of improving customer experience while optimising returns for the business.  The policy focuses on improving the volume of messages sent to customers, improving customer experience, improving ROI (Return on Investment) and targeting messages. It also makes use of a campaign process that relates to all communications dealing with marketing, product information, campaign messages and any other messages relating to passing direct information to customers across the enterprise. Notification messaging, mobile advertising, VAS (Value Added Services) content, BTL (Below The Line Marketing) communications and EB communications (normalised signal-to-noise ratio and vice versa).
Shareholder engagement and complaints management policy The MTN Nigeria Shareholder Engagement and Complaints Management Policy respects the rights of shareholders and believes that it is important to have constructive engagement with them to allow and encourage open dialogue. Such engagement with shareholders can provide valuable insights that will assist the board of MTN Nigeria in maintaining the high standards of governance to which it is committed. Therefore, MTN Nigeria has issued the Shareholder Engagement and Complaints Policy to provide comprehensive guidelines for managing shareholders’ engagement, issues and complaints by the company and its register. MTN Nigeria believes that engaging with shareholders increases transparency and encourages them to take an active interest in how the company is run. The policy also helps the board and management to consider and respond to shareholder concerns in a prompt, transparent, and disciplined manner that is consistent with the company’s governance structure and its policies governing corporate disclosure and confidentiality. The policy gives three options for reporting complaints or doubts to shareholders, which are:

  • Writing to the Chairman of Directors
  • Requesting for a meeting
  • Through shareholder questions at general meetings.

All complaints sent should contain the full name, phone number, email address, house address, signature and date of shareholder.

Securities Trading Policy This MTN Nigeria Policy shows the company as a responsible corporate citizen, and it is obliged to provide the public with information about its operations and publish information of public interest that aligns with its vision and mission. This is according to the law prohibiting insider trading and imposing restrictions on dealing with securities issued by the company while in possession of inside (internal), material, and price-sensitive information, either personally or on behalf of others. The Securities Trading Policy provides a basic understanding of the law and regulations relating to securities trading, including insider trading and preventing dealing in the group’s securities during a closed period
Financial Reporting Policy This policy provides clarity on the reporting framework to be applied to all financial reporting in MTN Nigeria and its entities. The policy mandates that all financial reporting by MTN Nigeria and its entities be present in all material aspects, including the financial position, financial performance, and cash flow of MTN Nigeria and its entities in terms of IFRS. The policy also states that MTN Nigeria is required to comply with IFRS in terms of regulation, in alignment with applicable sections of NGX Listings Requirements, Companies and Allied Matters Act (CAMA) 2020 and other local laws.

Anti-bribery and Corruption Policy The Anti-bribery and Corruption Policy is a governance policy that formally communicates MTN Nigeria’s stance towards the prevention of Bribery and Corruption practices. It also displays MTN Nigeria’s commitment to conducting MTN Nigeria’s business in an ethical, transparent and acceptable manner in compliance with the legislation and negotiations of the jurisdictions in which the company operates. The policy is implemented to ensure that all payments, procurements, transactions, gifts and rewards are not used for unlawful bribery practices and that any agreement with a third party by an MTN Nigeria staff or director was made in good faith.  It prohibits the offering or receiving of a financial or other advantage, either directly or indirectly, for the purpose of an undue benefit or reward improper decisions from a person or company, regardless of whether they are a government or public official, private person, company or anyone acting on MTN Nigeria’s behalf.

Conduct Passport The MTN Nigeria Conduct Passport Policy is the foundation for setting the tone regarding our code of conduct. MTN Nigeria’s values lead to success and underpin our relationship and trust with employees, directors, customers, business partners, government, shareholders, communities, and society. It emphasises the company’s commitment to its operations and demonstrates the standard of ethics and conduct to be met by individuals employed by MTN Nigeria or entities that are engaged in business with the company. The MTN Nigeria Conduct Passport is an essential tool in achieving the vision and driving the Ambition 2025 strategy forward. It encourages general conduct and encourages all employees and staff to act in accordance with MTN Nigeria’s values and protect the brand and reputation of the company. It covers all policies, including anti-harassment, corruption, bribery, disciplinary policy, recruitment, selection and talent management, environment, compliance and governance, among others.
Conflict of Interest Policy The Conflict of Interest Policy is a governance policy defined in the MTN Nigeria Master Policy that arose as a safeguard against employees having personal or business interests that have the potential to influence the independence and objectivity of their decision-making due to associations from which they may derive a benefit. MTN Nigeria recognises that the management of conflicts of interest is of high importance in promoting ethical conduct. The declaration of the conflicts of interest policy is therefore essential in protecting the integrity and objectivity of MTN Nigeria’s decision-making process and strengthening confidence among stakeholders. The policy aims to ensure employees’ compliance with key principles and standards. However, this Policy does not seek to discourage employees from contributing to outside activities that benefit society but rather provides guidance for ethical conduct in relation to their obligations to MTN Nigeria.
Digital Rights Policy MTN Nigeria’s Digital Rights Policy is also a governance policy updated to reflect the national priorities and realities of the country’s cyber domain. It is in line with MTN Nigeria’s vision of leading the delivery of a bold, new digital world to its customers and its belief that everyone deserves the benefits of a modern, connected life. The policy serves to demonstrate the federal government’s commitment to effectively harness the benefits and opportunities of the dynamic threats and emergent challenges. As a responsible corporate organisation and citizen, MTN Nigeria, through the framework of this policy, would align its strategy and operations to ensure that the digital rights of Nigerian citizens are respected in line with the provisions of the extant laws while complying with the laws, policies and strategies of the Federal Republic of Nigeria and other stakeholder for the purpose of achieving a secure digital environment. The specific aspects the Digital Rights Policy would address include freedom of expression, digital inclusion and access, online safety and net neutrality.
Document Management, Data Retention and Archiving Policy The MTN Nigeria Document Management, Data Retention and Archiving Policy is implemented to ensure effective management of documents within the organisation. The policy’s purpose is to state the standouts required for the preparation and control of documents as well as the methods for identification, storage, protection and retrieval of all internal documents and data. The policy also aims to outline the guidelines for retaining and destroying specific data, documents, or information in MTN Nigeria and guide employees and third parties working with MTN Nigeria regarding the minimum required for the retention period for the different types of data.

Information Security Policy The Information Security Policy is fundamental to MTN Nigeria’s daily operations of success. MTN Nigeria has instituted an organisation-wide information security program to address the security needs across the business. The policy focuses on maintaining an effective and efficient security posture for MTN Nigeria and everyone related to or working for and with MTN Nigeria, ensuring a reasonable and appropriate level of security awareness and protection throughout the organisation and infrastructure, as well as maintaining a solid security foundation. This policy aims to ensure proper management of information security, proper awareness of the information security policies, procedures, guidelines and standards and promotion of user awareness.
Risk Escalation and Acceptance Policy The MTN Nigeria Risk Escalation and Acceptance Policy sets out the principles to provide the minimum requirements and guidelines of risks to ensure consistent and timely escalation and acceptance of all relevant risk events to various levels of management within MTN Nigeria. The policy is intended as a reference document to guide management as a standard approach for escalating and accepting risks. It covers the four response strategies: treat, tolerate, transfer, and terminate. The policy’s goal is to ensure that risks are managed to acceptable levels and align with the organisation’s risk appetite through risk response, monitoring, timely escalation, and reporting to the right levels within MTN structures. In some cases where response plans may not work, the risk acceptance process policy would be undertaken.
Whistleblowing Policy The MTN Nigeria Whistleblowing Policy encourages all employees and third parties to report any incident of fraud, misconduct, bribery or any misappropriation by any internal or external party by or against MTN Nigeria via whistleblowing facility. To ensure that anonymity is provided to a whistle-blower, MTN Nigeria has acquired the services of an independent external service provider to manage the whistleblowing facility on behalf of the company. Employees can report any improper activity timeously, and each transgression is protected and treated as confidential.
Data Governance Policy The Data Governance Policy consolidates the integral parts of our enterprise data governance processes and practices, such as Data Governance Processes, Data Migration Framework Policy and DaaS Platform Retention Policy.

These data policies are a collection of principles that describe the rules to control the integrity, security, quality, and usage of data during its lifecycle. It also defines the roles and responsibilities of MTNN staff, contractors, and consultants with internal and external parties in relation to data access, retrieval, storage, disposal, and backup of MTNN’s data assets.

  • Data Migration Framework Policy

This framework document outlines a practical roadmap for managing data migration projects. It gives a high-level overview for those individuals not familiar with data migration and serves as a reference for those individuals familiar with the topic.

  • DaaS Platform Retention Policy

DaaS is a best-in-class Big Data platform which collects, integrates & presents MTN’s Data Assets to the business. It’s a powering insights platform that provides MTN with the opportunity for both internal & external monetisation and a differentiated competitive advantage in our markets. The policy covers all transaction data (i.e. E-layer), summarised data (i.e. BSL, 5by5, Usage Cluster, etc.), and user schema categories on the DaaS Platform. It applies to providing the guiding retention principles applicable to the platform. It also ensures compliance and regulatory requirements on data retention and protection are met during the processing, managing, moving, protecting, and archiving of various business data according to its unique characteristics such as age, usage patterns, regulatory and compliance protection rules and archiving policies; security and disaster protection rule.

Data Privacy and Protection Policy The Data Privacy and Protection Policy supports MTN Nigeria in establishing and maintaining an adequate and consistent level of data privacy and protection across the business. The policy sets out the minimum expectations that MTN Nigeria should comply with when processing Personal Data of Data Subjects and aims to ensure the ethical and responsible collection, use, and management of Personal Data entrusted to MTN Nigeria. It also explains MTN Nigeria’s key privacy principles fair and lawful basis for processing personal data. We also appointed a Data Protection Officer in line with the requirements of the Nigeria Data Protection Act, 2023.
 Responsible Advertising and Marketing Policy The MTN Nigeria Responsible Advertising and Marketing Policy is an operational policy that outlines MTN Nigeria’s commitment to accurate, non-offensive, appropriate, consistent and inclusive marketing efforts. It ensures that MTN’s marketing practises and processes are sound and done in a responsible manner to avoid any reputational and brand damage. The policy ensures that MTN’s marketing efforts, to the extent feasible, are representative and inclusive, aligning with our values of diversity and inclusion and free of violence, discrimination, and harmful stereotypes. The policy applies to all MTN Nigeria affiliates, partners, consultants and service providers across all forms of advertising and marketing materials including written, digital, social media, audio, verbal, electronic or any media platform, being guided by applicable regulations such as Companies and Allied Matters Act (CAMA) 2020, Nigerian Communications Act, 2003, Nigerian Communication Commission (NCC) Code on Corporate Governance, NGX Listings Requirements and Advertising Regulatory Council of Nigeria (ARCON) Act No. 23 of 2022.

Anywhere Anytime Flexibility (AAW) Policy The MTN Nigeria Anywhere Anytime Flexibility Policy is a workplace policy that aims to achieve a work-life balance for its employees and meet the various demands of their professional, family and personal lives. The policy involves an opt-in benefit allowing workers who have jobs that are not bound to any service agreement or have jobs that do not depend on the workplace infrastructure and tools or jobs that require minimal interaction with customers, co-workers and even third parties to be able to work at home. The policy explicitly ensures that eligible employees of MTN Nigeria have two free days a week to work at home and three days to work on-site for a maximum of 6 months. Through this policy, employees can have a flexible timeframe without impacting quality and delivery commitments.
Communications Policy The Communications Policy is a revised governance policy to be enforced by MTN Nigeria created to provide for the responsibilities of employees and accountability for the content they post online while adhering to the applicable laws regarding media terms of use, care with information and MTN Nigeria’s policies. It is a policy that protects the reputation of the company and makes use of proper communication techniques with its stakeholders while remaining consistent with its values. These values, which include transparency, confidentiality, and compliance, ensure that all directors, officers, employees, and representatives of MTN remain compliant with the obligations and rules internally (in the company) and legally (outside the company). The policy covers all forms of communication, whether written, verbal, print or electronic. It also ensures no compliance breaches and that all price-sensitive documents are not leaked to third parties. Through this policy, brand ambassadors would be more cautious about what they post online regarding the company and how the media team manages their actions. It renders options for other communication platforms to come in and the importance of data safety.
Corporate Social Investment Policy The Corporate Social Investment Policy is a governance policy that strives to create and protect shared values for its stakeholders through responsible economic, environmental and social practices by MTN Nigeria’s core belief that everyone deserves the benefits of a modern, developed and connected life. This policy covers the UNGC Sustainable Development Goals, compact principles, initiatives, and international standards, primarily focusing on women’s empowerment, youth empowerment, education, and disaster relief. Through the MTN Foundation plan, the policy aims to support the socio-economic well-being of its stakeholders and the community it serves. It also ensures that relevant governance practices are in place. It reports these structures accordingly while promoting effective organisational management of corporate social investment programmes that serve as a sustainable upliftment and encouragement of corporate social investment programmes to the communities in which it operates.
Crisis Management Policy The MTN Nigeria Crisis Management policy deals with how a company or organisation should manage a crisis. The policy framework outlines the principles behind crisis management, the development of the necessary capabilities that apply to any size of the organisation, and the promotion of resilience towards overcoming a crisis. MTN Nigeria plans to use this policy to ensure that all approaches and concepts of crisis management are understood and accepted by all staff and stakeholders. It allows for the development and application of the organisational capability to deal with any sort of crisis. This is extremely important as new crises are rising daily and are ready to threaten a company’s reputation. The objective of this policy is clear; however, apart from knowing how to respond properly and swiftly to a crisis, it helps a company provide a healthy and safe work environment for staff, agents, and all other people in touch with MTN Nigeria. It is a mandatory policy and allows everyone to learn lessons from their experiences, regardless of age or position. A crisis prevention plan policy will also be integrated into this policy for more effectiveness.
Disciplinary Policy The MTN Nigeria Disciplinary Policy is a policy that contains all the necessary steps and actions to be taken when a staff is found to be in breach of any of the company’s policies and procedures. These steps include sanctions for various misconducts by permanent employees of the company. These sanctions range from warnings to queries or, if misconduct is severely detrimental to the company, dismissal from the position. The implementation of a disciplinary policy by MTN Nigeria is essential to keep a safe work environment for employees and ensure efficient administration of the business.  Also, the policy is necessary for all cases involving disciplinary action and termination of employment for unacceptable behaviour. All disciplinary actions are to be handled by the appointed personnel, including the Line Manager.
Diversity and Inclusion Policy The Diversity and Inclusion policy is a business imperative that seeks to foster an inclusive and diverse safe work environment where all employees are treated fairly and with respect and placed in positions that contribute to the achievement of our strategic ambitions and priorities regardless of their race, gender, age, ethnicity and disability. The policy not only focuses on recruiting more women into MTN Nigeria’s workplace but also extends to all MTN Nigeria stakeholders and the entire ecosystem. The Diversity and Inclusion Policy has a global wireframe that includes a framework, tactical programmes and group interventions to support operating companies that implement diversity and inclusion. The policy promotes global trends and sustainability, as well as consideration of diversity as an important aspect of good people management underpinned by principles of fairness and equity. It also aims to make MTN Nigeria a more diverse company to reflect the diversity of our customers and country. It promotes equal employment opportunity, focuses on employment quotas, and ensures pay parity for all employees undertaking similar work of equal value. Through the enforcement of the grievance policy that comes with the Diversity and Inclusion policy, employees are encouraged to speak up about any unlawful and unacceptable behaviour in the workplace.
Gifts, Hospitality and Entertainment Policy The Gifts, Hospitality and Entertainment Policy aims to ensure that any gift an employee of MTN Nigeria receives does not have any actual or perceived conflict of interest of the employee or the company. The legal and reputational responsibility of MTN Nigeria ensures that an objective relationship with customers is maintained and third parties are not influenced by an offer or acceptance of gifts. The Gifts, Hospitality, and Entertainment policy showcases the zero-tolerance attitude MTN Nigeria has towards fraud, bribery and corruption. It also clarifies which gifts or entertainment are acceptable and unacceptable and that any unacceptable gift received should be returned to the donor by the receiver.
Grievance Policy This Grievance Policy recognises that grievances are legitimate concerns or complaints that employees may raise in the course of their employment. MTN Nigeria has shown genuine interest in resolving grievances promptly in a mutually acceptable manner with its employees while giving regard to thoroughness, fairness and transparency. The Grievance Policy aims to allow an employee to have access to the proper procedures that address grievance issues fairly and to provide him or her with access to senior management for its resolution. Also, the policy focuses on resolving workplace disputes effectively and offers points of contact and timescales to resolve issues of concern. This applies to all permanent employees of MTN Nigeria, encouraging them to speak about any grievance they have instead of harbouring it and to speak out on time, that is, within 90 calendar days after the incident or event took place. The grievance procedure goes through three stages: informal, formal, and appeal process. It pays particular attention to grievance cases such as discrimination of any kind, bullying, harassment, interpersonal conflict, or any situation that makes the employee genuinely uncomfortable.
Occupational Health and Safety Policy The Occupational Health and Safety Policy seeks to advance MTN Nigeria’s commitment to the provision and maintenance of a healthy working environment that is safe and without risk to the health of the employees, vendors, customers and visitors, as far as it is reasonably practicable and as guided by relevant regulatory standards. The purpose of this policy is to conduct hazard identification risk and risk assessment to ensure that risks relating to working procedures and conditions in the work environment are adequately controlled and monitored and, if necessary, mitigated. It also strives to make MTN Nigeria keep up with an effective manner of health, safety and environmental provisions to ensure that there is a continuous improvement in eliminating and treating any work-related injury and illness.
Stakeholder Management Policy The MTN Nigeria Stakeholder Management Policy seeks to bring about greater inclusion of stakeholder needs, interests and expectations in corporate decision-making. It is set up to guide the company’s approach to communicating, working and interacting with stakeholders of MTN Nigeria. The objective of the policy includes encouraging active engagement to improve responsiveness and trust in relationships with governments, regulators and policymakers to drive our reputation and support our national agenda. The Stakeholder Management Policy is part of the MTN Nigeria Stakeholder and Reputation Management framework, which governs how MTN Nigeria relates to and engages with its stakeholders. Also, this policy seeks to improve MTN Nigeria’s Issue Management Framework and the Stakeholder Governance Framework. However, the main purpose of the Stakeholder Management Policy is to standardise the approach to stakeholder management across MTN Nigeria and to govern the company’s engagement towards the desired outcome of relationship building, driving reputation and issue management.
Workplace Harassment Policy MTN Nigeria Workplace Harassment Policy defines the principles and rules that govern and discourage all forms of harassment, such as workplace harassment, sexual harassment, racial harassment, bullying and discrimination. The policy works to ensure all allegations of harassment or discrimination are investigated and properly dealt with. The policy aims to serve as an educational tool to increase awareness and sensitivity to the negative impact of workplace harassment while providing procedures for reporting and managing the consequences of unwanted behaviours such as intimidation, threat, harassment, and bullying. It takes sexual harassment as a particularly serious misconduct, whether in verbal, physical or non-verbal form.
Local Content Policy The MTN Nigeria Local Content Policy is a governance policy that captures MTN Nigeria’s aspiration to participate in the development of local content with the Nigerian telecommunication industry in tandem with the policy direction of the Federal Government of Nigeria. The framework of this policy enables MTN Nigeria to play a pivotal role in developing sustainable local societies whilst fulfilling its goals of enabling digital and financial inclusions. The policy clearly states MTN Nigeria’s involvement in promoting and boosting local content development in Nigeria through procurement, recruitment, skills development, community development, small to medium enterprises, supplier development, ownership transaction, local citizens employment and Indigenous ownership schemes

MTN Nigeria adheres to a culture of sound ethical business conduct in creating shared value, supported by various policies internally. Our policy position statements provide various stakeholders with a summary of our stance on key sustainability issues.

Waste Management Policy The MTN Nigeria Waste Management Policy recognises that waste constitutes an environmental challenge if not properly collected, handled or disposed of. Therefore, waste shall be collected in an environmentally safe manner to prevent injury or damage to plants, animals and the environment. Non-degradable and non-combustible waste shall also be collected, crated and conveyed for disposal at government-approved disposal sites. This policy aims to prevent environmental degradation and avoid discharging pollutants into the air, land or water. Dumping of waste into creeks, rivers, or other water bodies is prohibited, while waste collection and handling shall be undertaken by MTN Nigeria-approved consultants and federal/state environmental regulatory-approved consultants.
Electronic Waste Management Policy The Electronic Waste Management Policy affirms MTN Nigeria’s commitment to environmental protection by ensuring proper electronic waste management in compliance with the Harmful Waste Policy, which prohibits the carrying, depositing and dumping harmful waste on any land or territorial waters. MTN Nigeria recognises that E-waste can be a major environmental challenge if not disposed of properly. This policy reflects MTN Nigeria’s objectives and measures to manage electronic waste in an environmentally friendly manner. It affects how MTN Nigeria handles and disposes of outdated electronic and electric equipment and procures new ones. Note that, electronic waste, in this context, refers to all electric and electronic equipment such as computers, telephones, scanners, printers, lighting equipment, batteries, audio/video conferencing systems and many more electronic gadgets, devices and means of communication and information.
Environmental Policy The MTN Nigeria Environmental Policy is committed to sound environmental management practices that prevent pollution, ensure compliance with the applicable legal framework, and promote sustainable development, as demonstrated by continued performance, improvement, and application of best practices. In all of MTN Nigeria’s operations, the need to reduce or even eliminate environmental degradation within our facilities because of the equipment we use has been recognised. The policy aims to provide a comprehensive waste management system by adopting the necessary environmental technology.
Safety, Health & Environment (SHE) Policy The Safety, Health and Environment (SHE) Policy is an MTN Nigeria policy that aims to make MTNN reach the highest performance in Safety, Health and Environment (SHE) management by maintaining a healthy and safe working environment throughout its operations for all employees, contractors and third parties.
